1. PREAMBLE AND ACCEPTANCE
These General Terms and Conditions of Use ("Agreement") constitute a binding legal contract between Faciliter AI ("Provider", "we"), and the professional entity registering for the Service ("Customer", "you"). This Agreement governs your access to the MyFAQ platform (the "Service").
By creating an account, or by clicking "I Accept", you acknowledge that you are a professional user (B2B) and agree to be bound by these terms. If you represent a company, you warrant that you have the authority to bind that entity.
2. DEFINITIONS
- "Service": The MyFAQ SaaS platform, accessible via https://www.myfaq.ai.
- "Customer Content": All proprietary documents (RFPs, Excel, PDF), Q&A pairs, and data uploaded by Customer.
- "AI Output": Responses generated by the Service's algorithms based on Customer Content.
- "Credits": The unit of value consumed to perform actions (e.g., Chat, Ingestion).
- "Usage Data": Aggregated metadata regarding Service performance (e.g., query volume, error logs) that does not contain Customer Content.
3. ACCESS AND USE
3.1 License Grant. Provider grants Customer a non-exclusive, non-transferable right to access and use the Service for internal business purposes during the Subscription Term, subject to the available Credit balance.
3.2 Beta Disclaimer. Customer acknowledges the Service is currently in "Beta". The Service is provided "AS IS" without warranty of any kind. Provider is not liable for data loss or service interruptions during this phase.
3.3 Account Security. Customer is responsible for maintaining the confidentiality of credentials. Actions taken under Customer's account are deemed to be taken by Customer.
4. AI SPECIFIC TERMS: LIABILITY AND VERIFICATION
4.1 Nature of AI. The Service utilizes Generative AI, which is probabilistic. Customer acknowledges that AI Outputs may contain "hallucinations," factual errors, or omissions, even when grounded in Customer Content.
4.2 Duty to Verify (Crucial). Customer bears sole responsibility for reviewing and verifying all AI Outputs. The Service is a drafting aid, not a substitute for professional judgment. Customer agrees to verify all answers against its own records before submitting any proposal to a third party. Provider disclaims all liability for lost contracts, penalties, or damages arising from the submission of inaccurate AI-generated responses.
4.3 Transparency. Customer agrees to comply with applicable AI transparency laws (including the EU AI Act). If required, Customer shall disclose to its end-clients that responses were generated with AI assistance.
5. FEES AND CREDITS
5.1 Credit System. The Service operates on a consumption basis. Actions consume Credits according to the "Rate Card" displayed in the dashboard.
5.2 Rate Modification. Provider reserves the right to adjust Credit consumption rates (e.g., for advanced "Thinking Models") at any time. Material changes will be notified 30 days in advance via the dashboard.
5.3 Expiration.
- Subscription Credits: Reset at the end of each billing cycle.
- Pack Credits: Valid for twelve (12) months from purchase.
- No Refunds: Credits are non-refundable and have no monetary value outside the Service.
6. DATA PROTECTION AND INTELLECTUAL PROPERTY
6.1 Ownership.
- Customer: Retains all rights to Customer Content.
- Provider: Retains all rights to the Service, code, algorithms, and Usage Data.
6.2 "No Training on Content" Covenant.
Provider covenants that it will NOT use Customer Content to train, fine-tune, or improve third-party Foundation Models (e.g., GPT-4, Claude) shared with other customers or the public. Customer Content is processed solely to generate responses for the Customer.
6.3 Service Improvement.
Notwithstanding Section 6.2, Customer grants Provider a non-exclusive right to use anonymized Customer Content and Usage Data for the sole purpose of:
(i) Improving the Service's internal search and retrieval algorithms (RAG);
(ii) Analyzing system performance and costs;
(iii) Developing internal debugging tools.
Provider warrants that such improvements will not result in the leakage of Customer Confidential Information to other tenants.
6.4 Personal Data (GDPR).
The parties agree to the Data Processing Addendum (DPA) available at [Link], incorporated herein. Provider acts as a "Processor" and Customer as a "Controller." Data is hosted within the European Union.
7. TERM AND TERMINATION
7.1 Term. The Agreement renews automatically for the same duration as the initial subscription period.
7.2 Termination for Convenience (EU Data Act). Customer may terminate this Agreement at any time with two (2) months' notice via the account settings.
7.3 Data Portability. Upon termination, Customer may export its Golden References and Q&A history in a structured format (e.g., JSON/Excel) free of charge for a period of 30 days.
8. LIMITATION OF LIABILITY
8.1 Cap. To the extent permitted by French law, Provider's total aggregate liability is limited to the total fees paid by Customer during the twelve (12) months preceding the claim.
8.2 Exclusions. Provider is not liable for indirect damages, including loss of business, revenue, or reputation, nor for damages arising from Customer's failure to verify AI Output.
8.3 Essential Obligation. This limitation does not apply to damages caused by Provider's fraud, gross negligence (faute lourde), or breach of an essential obligation (obligation essentielle) that voids the contract's substance.
9. GOVERNING LAW AND JURISDICTION
9.1 Governing Law. This Agreement is governed by and construed in accordance with the laws of France.
9.2 Jurisdiction. ANY DISPUTE ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL BE SUBMITTED TO THE EXCLUSIVE JURISDICTION OF THE COMMERCIAL COURT OF PARIS (TRIBUNAL DE COMMERCE DE PARIS), EVEN FOR EMERGENCY PROCEEDINGS OR MULTIPLE DEFENDANTS.
